OFFICIAL RULES

NO PURCHASE REQUIRED TO ENTER OR WIN. U.S. ONLY. VOID WHERE PROHIBITED.

1. Eligibility: The Sweepstakes is open only to persons who are legal residents of the United States ( excluding residents of Puerto Rico and U.S. territories and possessions) & D.C. and are at least 18 years of age or older at the time of entry. Employees and agents of mobileSPA LLC (“Sponsor”), Hilltop New Media, Sony Pictures Digital, Inc., Sony Pictures Entertainment, Inc. Orbitz LLC, their respective parents, affiliates, subsidiaries, advertising and promotional agencies, any other prize sponsor, and any entity involved in the development, production, implementation, administration or fulfillment of the Sweepstakes (all of the foregoing, together with Sponsor, collectively referred to as “Promotion Entities”), and the immediate family members (parents, children, siblings, spouses) and persons living in the same household as such individuals (whether related or not), are not eligible to participate or win. The Sweepstakes is void wherever prohibited or restricted and is subject to all applicable federal, state, and local laws.

2. Agreement to Official Rules: By participating in the Sweepstakes, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding.

4. Promotional Period: The Sweepstakes begins on February 2, 2005 at 7:00:00 p.m. Eastern Time (ET) and ends on March 1, 2005 at 11:59:59 a.m. (ET) (the “Promotional Period”).

5. How to Enter: To enter using the Internet, access the page located at www.mobilespa.com/hitch.asp and complete all of the information fields required. Then click on the “Submit” button to be registered and receive one (1) entry into the Sweepstakes.

Limit one (1) entry per person/email address/calendar day during the Promotional Period. Any entries in excess of this limit will be disqualified. Entrants may not enter with multiple email and/or multiple identities nor may entrants use any other device or artifice to obtain more than the maximum number of entries. Any entrant who attempts to participate with multiple email and/or multiple identities or uses any device or artifice to obtain more than the maximum number of entries may be disqualified.

All online entries must be received and processed by Sponsor’s computer before the expiration of the Promotional Period. The Sponsor’s computer is the official clock for the Sweepstakes. No responsibility is assumed for Entries that are lost, late, incomplete, misdirected, illegible, destroyed, misplaced, stolen, tampered with, deleted, damaged, incomplete, or otherwise not in compliance with these Official Rules and all such Entries will be disqualified. No responsibility is assumed for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/use net accessibility, availability, or traffic congestion, or any technical error, or unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information.

6. Drawings: Potential winner will be selected by Sponsor in a random drawing from all eligible entries received during the Promotional Period. Drawing will take place within approximately five (5) business days following the end of the Promotional Period. Potential Winner (his/herparent/legal guardian if winner is a resident of a jurisdiction that deems him/her to be a minor) will be notified by email within approximately ten (10) business days of the drawing. [STRONGLY RECOMMEND AGAINST EMAIL NOTIFICATION BECAUSE OF THE VALUE OF THE PRIZE AND BECAUSE EMAIL LEAVES BEHIND A TRACE. STRONGLY RECOMMEND NOTIFYING POTENTIAL WINNER BY TELEPHONE AND THEN VERIFYING WITH AFFIDAVIT/RELEASE].

Entrants selected must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Except where prohibited, potential winner (his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) must sign and return to Sponsor, within ten (10) days of being notified via email, an affidavit of eligibility and liability/publicity release in order to claim his/her prize. If a potential winner cannot be contacted within two (2) days after the first attempt to contact him/her via email, if he/she fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period, if he/she is found to be ineligible, if he/she does not comply with these Official Rules, or if his/her prize or prize notification is returned as undeliverable, an alternate potential winner will be selected in his/her place at random from among all eligible entries received. If winner is a resident of a jurisdiction that deems him/her to be a minor, winner’s prize will be awarded in the name of his/her parent/legal guardian. Guest of winner (or his/her parent/legal guardian if guest is a resident of a jurisdiction that deems him/her to be a minor) must execute a Liability Release and (where legal) a Publicity Release (“Guest Release”) and such Guest Release must be returned with winner’s Affidavit/Release. 7. Prize: ONE (1) GRAND PRIZE
A trip for winner and one (1) guest consisting of roundtrip economy air transportation to New York, NY; two (2) nights hotel accommodations (standard room/double occupancy) in New York City; $1,000 wardrobe makeover for winner and guest; in-hotel spa treatment for winner and guest; a cruise for winner and guest to the Statute of Liberty and Ellis Island; and $250 spending cash for winner only (Approximate Retail Value (“ARV”): $4,420). Total ARV of all prizes: $4,420. Odd of winning depend on the total number of eligible entries received. Prize must be accepted as awarded. No substitution, transfer or cash equivalent of prize is permitted, except by Sponsor, which reserves the right to substitute a prize of equal or greater value if prize (or any portion of prize) becomes unavailable. If actual value of prize is less than the stated estimated retail value, balance of difference will not be awarded in cash or otherwise. Sponsor will not replace lost or stolen vouchers or certificates once accommodations and spending credit amenities are booked. Hotel reservations are based on availability and must be made in advance. Reservations must be requested no later than 30-days in advance. Air transportation provided only if winner and/or guest do not reside within 100 miles of selected location. Winner and his/her guest must take air travel on same itinerary. Trip is subject to air travel and hotel availability, holiday and blackout dates, and other restrictions. Twenty-One day advance booking and Saturday night stay required. Travel must be completed by one (1) year from the date the winner is selected. If travel is not completed within this time, prize will be deemed forfeited. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Once booked, no change, extension, or substitution of trip dates is permitted, except by Sponsor at its sole discretion. If winner is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be the allotted guest. If guest is from a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless he or she is the winner. Winner and guest are responsible for obtaining all necessary and required travel documents. All meals, gratuities ground transfers, transportation, excursions, insurance, incidentals, departure, airport taxes and any other expenses not specified herein are the sole responsibility of the winner and his/her guest. Any depictions of prize are for illustrative purposes only. Prize notifications and certificates will only be sent to U.S. or D.C. addresses only. All federal, state, or other taxes (if applicable) are the sole responsibility of the winner. Winner will receive a 1099 from the Sponsor for the total ARV of the Grand Prize (stated herein) in the calendar year that he/she won the Grand Prize.

9. General Conditions: Sponsor reserves the right to cancel or modify the Sweepstakes if fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In case of a dispute over the identity of an entrant who submitted a winning Entry, the authorized account holder of the email address associated with that Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted email address. Said entrant must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.

10. Release: By entering this Sweepstakes, entrant agrees to release and hold harmless, Promotion Entities, each of their related companies, and each of their respective officers, directors, employees, and agents from and against any losses, damages, rights, claim or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Sweepstakes or resulting directly of indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Sweepstakes, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.

11. Limitations of Liability: Promotion Entities are not responsible for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Sweepstakes; (iv) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to entrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt of any prize awarded (vi) the guarantee of satisfaction when experiencing the prize package.

12. Arbitration/Choice of Law: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, other than the administration of the Sweepstakes or the determination of winners shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association then effective. (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Massachusetts, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Massachusetts.

13. Non-Endorsement: The use of any non-Sponsor trademark, service marks, logos or other marks in connection with this Sweepstakes or any prize is not meant by Sponsor to imply the endorsement of the respective owner(s) of such marks, or any affiliation of the respective owner(s) of such marks with the Site or the Sweepstakes.

14. Entrant's Personal Information: Information collected from entrants is subject to the mobileSPA Privacy Policy. Additionally, if an entrant chooses to opt-in to a specific offer from a participating Promotion Entity, his/her personal information will be subject to that Sweepstakes Entity’s privacy policy and terms of service (if applicable), and such entrant agrees to receive additional email communication from that Promotion Entity. Respective privacy policies of Promotion Entities participating in opt-ins will be accessible from Sweepstakes entry page.
